Terms and Conditions for Softu Ltd.

2. Scope of Services

Softu Ltd. offers a range of IT services, including but not limited to:

  • Digital Marketing

  • Technical Support and Maintenance

  • IT Training Courses

The scope of services for each project will be agreed upon in a separate contract or agreement with the client.


3. Acceptance of Terms

By accessing or using our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. You also agree to comply with all applicable laws and regulations when using our services.


4. Client Responsibilities

Clients agree to:

  1. Provide accurate and complete information necessary for project execution.

  2. Respond promptly to any requests for feedback or additional information.

  3. Make payments according to the agreed-upon schedule.

  4. Adhere to all terms outlined in this agreement and any additional contracts.

Failure to meet these responsibilities may result in project delays or termination.


5. Payment Terms

Payment terms will be outlined in the contract specific to each project. The general payment terms are as follows:

  1. Upfront Payment: A deposit of 50% of the total project cost is required before project commencement.

  2. Final Payment: The remaining balance is due upon project completion, before the final delivery of the product.

  3. Late Payments: Late payments may incur additional fees. Failure to make payments may result in suspension or termination of services.

We accept payments via bank transfer, PayPal, Stripe, and credit/debit cards.


6. Project Timelines

Project timelines will be agreed upon with the client before project commencement. While we strive to meet all deadlines, delays may occur due to unforeseen circumstances. In such cases, clients will be informed promptly.


7. Intellectual Property Rights

A. Ownership

Upon full payment, the client will own the final deliverables of the project. Softu Ltd. retains the right to showcase the work in its portfolio unless otherwise agreed upon.

B. Third-Party Tools and Content

Softu Ltd. may use third-party tools, libraries, or content to complete projects. The client must adhere to any licensing agreements associated with such tools.


8. Confidentiality

Both parties agree to keep all project-related information confidential. This includes:

  1. Business plans

  2. Financial information

  3. Technical details

  4. Personal data

Confidential information will not be shared with third parties without prior consent unless required by law.


9. Warranties and Disclaimers

A. Warranties

Softu Ltd. warrants that the services provided will be performed with reasonable skill and care. However, we do not guarantee that the services will be error-free or uninterrupted.

B. Disclaimers

Softu Ltd. is not responsible for:

  1. Errors caused by third-party tools or platforms.

  2. Loss of data due to client negligence.

  3. Issues arising from misuse or unauthorized modifications of deliverables.


10. Limitation of Liability

Softu Ltd. shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability for any claims shall not exceed the total amount paid by the client for the specific service in question.


11. Termination

Either party may terminate the agreement under the following conditions:

  1. By Client: The client may terminate the agreement by providing written notice. Refunds will be subject to the refund policy.

  2. By Softu Ltd.: Softu Ltd. may terminate the agreement if the client fails to meet payment obligations or violates the terms.

Upon termination, all outstanding payments become due immediately.


12. Refund Policy

Refunds will be issued on a case-by-case basis, depending on the project progress and reasons for termination. Refunds will not be issued for completed work or work that has already been delivered to the client.


13. Data Privacy

We are committed to protecting your privacy. Please refer to our Privacy Policy for details on how we collect, use, and protect your personal information.


14. Governing Law

These Terms and Conditions are governed by the laws of England and Wales. Any disputes arising from this agreement will be resolved in the courts of London, United Kingdom.


15. Changes to Terms and Conditions

Softu Ltd. reserves the right to update these Terms and Conditions at any time. Clients will be notified of any significant changes. The updated version will be posted on our website with the “Last Updated” date.
