The general commercial terms for Softu website, software, automation and digital projects.

01Policy information

Scope and proposals

Each project is defined by a written proposal, quotation, statement of work or order confirmation. It describes the agreed scope, deliverables, assumptions, timescales and fees. Work outside the agreed scope may require a change request, revised delivery date and additional fee.

Client responsibilities

Clients must provide timely decisions, accurate information, lawful content, access credentials and approvals reasonably needed for delivery. Delays in these items may affect milestones and launch dates.

Fees and payment

Invoices are payable according to the schedule in the proposal or invoice. Deposits and milestone payments may be required before work begins or continues. Softu may pause work or withhold delivery where an undisputed payment is overdue.

Changes and acceptance

Requested changes are assessed against the agreed scope. Deliverables should be reviewed within the stated acceptance period. Material defects reported during that period will be assessed and corrected where they relate to the agreed specification.

Intellectual property

Each proposal should identify ownership and licensing. Unless agreed otherwise, Softu retains ownership of pre-existing tools, reusable components, know-how and third-party materials. Agreed project deliverables transfer or are licensed only after full payment, subject to the applicable written agreement.

Third-party services

Hosting, domains, software, APIs, payment services and other third-party products may have separate terms, fees and availability. Softu is not responsible for a third party changing or discontinuing its service, but can assist with reasonable mitigation where agreed.

Confidentiality, data and security

Each party should protect confidential information and use it only for the project. Where Softu processes personal data for a client, appropriate data-processing terms may apply. Clients remain responsible for lawful instructions, content and access permissions.

Liability and termination

Any project-specific limits, warranties and termination rights are stated in the signed proposal or agreement. Nothing excludes liability that cannot legally be excluded. If there is no separate agreement, contact Softu before work begins so the commercial terms can be confirmed in writing.
